Agreement
These terms are between you and Dusk Labs, Inc. (“Keeper”, “we”, “us”). By using Keeper you agree to them. If you do not agree, do not use the service.
What Keeper is
Keeper is a personal financial assistant delivered over text message. It answers questions about your money, remembers what you have told it, and lets you know when something appears to need your attention.
Keeper is not a financial adviser, broker, dealer, bank, or fiduciary. Nothing Keeper says is investment, tax, legal, or accounting advice. Keeper will not tell you which securities to buy, sell, or hold, and it will not recommend how to allocate a portfolio. Decisions about your money are yours, and you should consult a qualified professional where that matters.
Eligibility and your account
You must be at least 18 and able to enter a binding contract. Keeper is currently offered only in the United States.
Your account is tied to your mobile number, and Keeper responds only to messages from the number on your account. Keep control of that number and the device it is on — anyone who can send messages from it can see your financial information. Tell us promptly if you change or lose it.
Your account is for you. Do not share it.
Text messaging
By signing up you consent to receive text messages from Keeper at the number you provide, including messages sent by an automated system.

- Message and data rates may apply.
- Reply STOP to stop messages, or HELP for help.
- Consent to messages is not a condition of any purchase.
Sign-in verification codes come from a different number and are required to access your account, so opting out of Keeper messages does not stop them.
Carrier delivery is not guaranteed, and neither Keeper nor your carrier is liable for delayed or undelivered messages.
Connecting financial accounts
Connecting accounts is optional. If you do, you authorise us and our provider Plaid to access information from those accounts on your behalf.
Access is read-only. Keeper cannot move money, make payments, place trades, or change anything at your financial institution. You may disconnect any account at any time.
You confirm you are authorised to connect the accounts you connect, and that doing so does not breach any agreement you have with your financial institution.
Accuracy, freshness, and coverage
Keeper reports what it can see, when it last saw it. Financial institutions report on their own schedules, transactions can settle differently than they first appear, and an account you have not connected is invisible to Keeper.
Keeper tells you when an answer is limited by what it can see. Even so, you should not rely on Keeper as your only record of your financial position. Your financial institution’s own statements are authoritative.
Acceptable use
You agree not to:
- Use Keeper unlawfully, or to facilitate anything unlawful.
- Access another person's account or financial information.
- Attempt to breach, probe, or disrupt the service or its infrastructure.
- Scrape, resell, or redistribute the service.
- Misrepresent who you are.
Availability
We may change, suspend, or discontinue any part of Keeper. We aim to keep the service available but do not guarantee uninterrupted operation, and outages at our providers can affect it.
Termination
You may stop using Keeper and close your account at any time. We may suspend or terminate your account if you breach these terms, or if we are required to. On termination the handling of your data follows our Privacy Policy.
Disclaimers
Keeper is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.
Limitation of liability
To the fullest extent permitted by law, Keeper is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or financial losses arising from decisions you make. Our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.
Changes to these terms
We may update these terms. If a change is material we will tell you before it takes effect. Continuing to use Keeper afterwards means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
